1. Acceptance of Terms

By accessing and using the services provided by SwissHealth (“we,” “our,” or “us”), you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, please do not use our services or access our member portal.

These terms apply to all users: supplement manufacturers, consumers, and retailers participating in our platform.

2. Description of Services

SwissHealth provides comprehensive supplement industry solutions, including:

  • Membership services for manufacturers, consumers, and retailers
  • Quality verification and third-party lab testing coordination
  • FDA compliance support and regulatory guidance
  • Trusted partnership facilitation between industry participants
  • Access to our verified supplier and retailer network
  • Member portal with industry resources and documentation
  • Consultation services for supplement quality assurance

3. Membership Categories and Responsibilities

3.1 Manufacturers: You agree to:

  • Provide accurate product information and compliance documentation
  • Maintain current FDA registrations and follow Good Manufacturing Practices (GMP)
  • Submit products for third-party testing when required
  • Comply with all applicable supplement regulations and labeling requirements
  • Maintain liability insurance as specified in your membership agreement

3.2 Retailers: You agree to:

  • Source products only from verified manufacturers in our network
  • Maintain proper storage and handling practices for supplements
  • Provide accurate product information to consumers
  • Report any quality issues or customer complaints promptly

3.3 Consumers: You agree to:

  • Use supplement products according to manufacturer recommendations
  • Consult healthcare professionals before starting new supplement regimens
  • Report adverse reactions or quality concerns through proper channels
  • Respect intellectual property and confidential information

4. Membership, Subscription, and Payment

4.1 Membership Tiers: Our services are provided through various membership tiers (Consumer, Retailer, Manufacturer) with different access levels and pricing as outlined in your membership agreement.

4.2 Payment: Membership fees are due according to the terms specified in your membership agreement. Late payments may result in suspension of member portal access and services.

4.3 Member Portal Access: Access to our member portal and exclusive resources is contingent upon current membership status and compliance with these terms.

4.4 Taxes: Membership fees do not include applicable taxes, which will be added to your invoice if required by law.

5. Quality Verification and Compliance

5.1 Testing Requirements: Manufacturers may be required to submit products for third-party testing to maintain network membership.

5.2 Compliance Monitoring: We reserve the right to monitor compliance with FDA regulations and industry standards.

5.3 Verification Process: All network participants undergo verification processes to maintain the integrity of our trusted partnership network.

6. Term and Termination

6.1 Term: Membership terms are specified in your membership agreement. Most memberships automatically renew unless cancelled according to the specified notice period.

6.2 Termination: Either party may terminate membership as specified in your agreement. We may immediately terminate membership for safety violations, non-compliance, or breach of these terms.

6.3 Post-Termination: Upon termination, access to the member portal and network benefits will cease, but you remain responsible for all fees incurred before termination.

7. Intellectual Property and Confidentiality

7.1 Your Content: You retain rights to your proprietary formulations, business information, and content while granting us necessary licenses to provide our services.

7.2 Our Content: We retain all rights to our verification processes, member portal, network data, and proprietary methodologies.

7.3 Confidentiality: We maintain strict confidentiality of member information, test results, and proprietary business data. Members must also maintain confidentiality of other members’ information.

8. Health and Safety Disclaimers

8.1 No Medical Advice: SwissHealth does not provide medical advice. Our services are limited to industry facilitation and quality verification.

8.2 Product Responsibility: Manufacturers remain solely responsible for product safety, efficacy claims, and regulatory compliance.

8.3 Consumer Responsibility: Consumers should consult healthcare professionals before using any supplement products.

9. Limitation of Liability

To the maximum extent permitted by law, SwissHealth shall not be liable for:

  • Any adverse reactions to supplement products
  • Business losses resulting from regulatory changes
  • Indirect, incidental, special, consequential, or punitive damages
  • Actions or omissions of network partners
  • Interruptions to member portal access

Our liability is limited to the membership fees paid in the twelve months preceding any claim.

10. Indemnification

Members agree to indemnify and hold harmless SwissHealth from claims arising from:

  • Use or misuse of supplement products
  • Non-compliance with FDA regulations
  • Breach of these terms or membership agreements
  • Violations of third-party rights
  • Product liability claims related to member products

11. Regulatory Compliance

All members must comply with:

  • FDA regulations for dietary supplements
  • Good Manufacturing Practice (GMP) requirements
  • Labeling and advertising regulations
  • Import/export requirements for international members
  • State and local supplement regulations

12. Dispute Resolution

12.1 Internal Resolution: We encourage members to resolve disputes through our internal mediation process first.

12.2 Arbitration: Any unresolved disputes will be settled through binding arbitration in accordance with industry standards.

12.3 Class Action Waiver: Members waive the right to participate in class action lawsuits against SwissHealth.

13. Modifications to Terms

We reserve the right to modify these terms to reflect:

  • Changes in FDA regulations
  • Industry best practices
  • Service improvements
  • Legal requirements

Members will be notified of significant changes through the member portal and email.

14. Governing Law

These terms shall be governed by the laws of the United States and the state where SwissHealth is registered, without regard to conflict of law provisions. Given the international nature of the supplement industry, international trade law may also apply.
